These Terms of Service ("Terms") govern your access to and use of the AMBmediaworks website and services. By browsing this site, submitting a booking form, or entering into a services agreement, you agree to these Terms. If you do not agree, please do not use the site or services.
1. Who We Are
AMB‑MEDIAWORKS S.R.L. is a Romanian company (CUI 50553724) operating AMBmediaworks, a performance-based paid social agency for creative brands. We manage paid advertising campaigns on Meta platforms (Facebook, Instagram) and related ecosystems.
2. Services
We provide paid social ad management, including campaign setup, audience targeting, bid optimization, tracking implementation, and performance reporting. We do not produce creative assets (images, videos, copy) unless explicitly agreed in writing. Our engagements are typically structured as a base management fee plus a performance-based success fee tied to agreed targets.
3. Client Responsibilities
- Provide necessary ad account, pixel, and business manager access.
- Supply creative assets and brand guidelines in a timely manner.
- Ensure all provided content complies with platform policies and applicable law.
- Maintain accurate product feeds, landing pages, and checkout flows.
- Respond to requests within agreed timeframes so campaigns are not delayed.
4. Fees & Payment
Fees are set out in the individual service agreement or proposal. Unless otherwise stated:
- The base management fee is due monthly in advance.
- Success fees are calculated against agreed targets and invoiced monthly in arrears.
- Ad spend is billed directly by the ad platform (Meta) to the client's account — we do not markup media spend.
- Late payments may result in campaign pauses without liability to us.
5. Term & Termination
Each engagement runs for the term specified in the service agreement. Either party may terminate with written notice as set out in that agreement. Upon termination, we will hand over relevant account access and data; outstanding fees for work completed remain payable.
6. Confidentiality
We treat client data, business metrics, and strategy as confidential. We will not disclose confidential information to third parties except as necessary to deliver services (e.g., platform support) or as required by law. Clients agree to keep our proposals, reports, and methods confidential as well.
7. Results & Disclaimers
We use industry best practices and data-driven methods, but advertising performance depends on factors outside our control (market conditions, platform changes, product demand, creative quality). We do not guarantee specific revenue, ROAS, or conversion figures. Past performance is not a guarantee of future results.
8. Intellectual Property
All reports, strategies, and materials we create for you remain your property upon full payment. Our tools, templates, and proprietary methods remain our property. You grant us a limited license to use your brand assets solely for the purpose of managing your campaigns.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability arising from or relating to our services is limited to the total fees paid by you in the three months preceding the claim. We are not liable for indirect, consequential, or lost profits damages.
10. Governing Law
These Terms are governed by the laws of Romania. Any disputes shall be resolved in the competent courts of Bucharest, Romania.
11. Changes to These Terms
We may update these Terms from time to time. The latest version will always be available at this URL. Continued use of the site or services after changes constitutes acceptance.
